These Terms and Conditions (“Agreement”) create a contract between you (also referred to herein as “User”) and Opes Borsa Technologies Ltd ("Opes Borsa," “we,” “us,” and “our”).

By accessing or using our services (collectively, the "Services"), you agree to comply with and be bound by this Agreement. Your use of our Services is also subject to our Privacy Policy, which explains how we collect, use, share, and store your personal information.

This Agreement governs your access to and use of the Services, including any content, data, materials, and information, such as text, graphics, logos, button icons, images, audio clips, digital downloads, and software or subscription-based features included in or made available through the app (the “App”) (referred to as “Content”).

Please read this Agreement carefully before using our Services. If you do not agree with any of the terms, do not access or otherwise use any of our Services.

1. Your Account

1.1 Service Eligibility. The Services are not for use by anyone under the age of 18. To use the Services, you agree that (i) you must be at least 18 years of age or older, and (ii) you will provide accurate information when creating your account. Any false or misleading information may result in the suspension or termination of your account.

1.2 Registration of Account. You must register for an account to use the Services (an "Account"). By registering for or using an Account, you agree that your account is created for your personal use only, and you agree to use it solely on your behalf.

1.3 Delete Account. Users may delete their Opes Borsa Account at any time by accessing the Delete Account option via the “Account Info” section. Upon Account deletion, all User data, including portfolio information and premium features, will be permanently erased in accordance with Opes Borsa’s data retention policy.

1.4 Restore Purchase. Users who have purchased Opes Borsa Plus can restore previous purchases by selecting the Restore Purchase option in the “Account Info” section of the App.

2. Account Confidentiality

2.1 To create a Opes Borsa account, you must provide a valid email address and set up a password. You are responsible for keeping your password secure and for all activities that occur under your account, including any purchases made or charges incurred. We strongly recommend using a strong password that includes a combination of upper and lower case letters, numbers, and symbols.

2.2 You must not disclose your password to any third party. You are solely responsible for maintaining the confidentiality of your account information and ensuring all actions performed under your account comply with this Agreement. Opes Borsa is not liable for any losses arising from unauthorized use of your Account. We reserve the right, at our sole discretion, to refuse, suspend, or terminate any Account. If you suspect your Account has been compromised, please contact us immediately at support@opesborsa.com.

2.3 You may have the option to create and access your Opes Borsa account through a platform such as Apple ID or Google Account. By doing so, you agree that Opes Borsa may access, display, and store information from your Apple or Google account, including data, text, and other materials made available through these platforms. This information may be displayed on your Opes Borsa account or profile page, subject to the privacy settings of your Apple or Google account.

2.4 Your relationship with Apple and Google is governed solely by your agreement with these platforms, and Opes Borsa disclaims any liability for personally identifiable information provided by these platforms that may violate your privacy settings. You agree to manage your Apple or Google account privacy settings to control the information shared with Opes Borsa.

2.5 Payment

2.6 Opes Borsa also offers a subscription-based and paid service that provides Users with access to exclusive features, content, and tools not available in the standard services (“Opes Borsa Plus”). These enhanced offerings are designed to personalise and improve the user experience, offering additional functionality and insights tailored to individual preferences and needs.

2.7 If you purchase Opes Borsa Plus, you agree to pay all applicable fees and taxes (“Fee”), as well as comply with any additional terms specific to those Services. Failure to pay will result in the termination of your Opes Borsa Plus. By making a purchase, you also agree to the following:

(a) If you purchase our Opes Borsa Plus, your payment will automatically be charged at the beginning of each monthly subscription period for the applicable fees and taxes. To avoid future charges, you must cancel before the renewal date. Your plan will automatically renew on a monthly basis at the end of each subscription period until cancelled. To manage or cancel your Opes Borsa Plus subscription, please visit the Profile section in the app and select Upgrade to Opes Borsa Plus or Restore Purchase under the Account Info settings.

(b) We may store your payment details and continue to bill it, even after it has expired, to avoid interruptions in your Services.

(c) Any applicable taxes for your purchase of Opes Borsa Plus may be calculated based on the billing information you provide at the time of purchase.

2.8 The Fees will be automatically charged on a monthly basis. Once the Opes Borsa Plus has been purchased, you are not entitled to any refund, even if you cancel your Opes Borsa Plus subscription before the renewal date. All amounts paid are non-refundable and you remain responsible for any uncollected amounts.

2.9 Upon subscription to Opes Borsa Plus, User may be eligible for a 3-day free trial period. After the trial period, the monthly subscription Fee for Opes Borsa Plus will automatically be charged to the payment method provided by the User unless the User cancels before the trial expires.

2.10 Opes Borsa reserves the right to modify the Opes Borsa Plus subscription fee at its sole discretion. Any changes to the fee will take effect at the beginning of the renewal period. Users will continue to be charged the current rate until the start of the renewal period, unless they cancel their subscription before the renewal date.

2.11 Users shall provide valid and up to date payment information when subscribing to Opes Borsa Plus. Users can manage their payment methods and billing information via the “Account Info” section in the Opes Borsa App. If you fail to make a payment by the due date, Opes Borsa reserves the right to suspend or terminate your access to Opes Borsa Plus.

2.12 Opes Borsa reserves the exclusive right to modify, expand, or discontinue any features or services offered under Opes Borsa Plus at its sole discretion. From time to time, additional features may be introduced as part of these premium services. Opes Borsa may also amend or adjust the scope of existing services to improve user experience or for any other reason it deems necessary. Any such changes will be communicated to Users in accordance with these Agreement.

3. Data protection

3.1 You agree that we may access, store, process and use any information and personal data that you provide in connection with this Agreement and/or the Services.

3.2 Your use of our Services is subject to our Privacy Policy, which is available at Privacy Policy

5. Third Party Links and Content

5.1 Where our Services and the App may contain links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

6. We provide access to third-party sites and resources only as a convenience. We do not have control over the contents of those sites or resources, do not warrant or endorse them, and are not responsible for the availability or legitimacy of the content, products, or services available on or accessible from those third-party services.

7. Disclaimer

7.1 Opes Borsa:

(a) does not warrant that:

(i) the User’s use of the Services will be uninterrupted or error-free; or

(ii) that the Services, Content and/or the information obtained by the User through the Services correct; or

(iii) the App and/or Services will be free from vulnerabilities or viruses;

(b) is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and the User acknowledges that the Services may be subject to limitations, delays and other problems inherent in the use of such communications facilities.

8. The Content provided through the Services and App, including stock market news, cryptocurrency updates, and financial data, is for informational purposes only and does not constitute financial or investment advice. Users are solely responsible for assessing whether any investment, strategy, or financial decision is suitable for their individual circumstances. While Opes Borsa provides content aimed at informing users about financial markets and assets, this should not be interpreted as an endorsement or recommendation to buy, sell, or hold any financial instrument. Opes Borsa expressly disclaims any liability for any decisions made based on the information provided through its services.

9. Indemnity

9.1 The User shall defend, indemnify and hold harmless Opes Borsa against claims, actions, proceedings, losses, damages (actual and consequential), expenses and costs (including without limitation court costs and reasonable legal fees) arising out of or in connection with the User’s access and use of the Services provided that:

(a) the User is given prompt notice of any such claim;

(b) Opes Borsa provides reasonable co-operation to the User in the defence and settlement of such claim, at the User’s expense; and

(c) the User is given sole authority to defend or settle the claim.

9.2 The User agree to indemnify and hold Opes Borsa harmless from any claim or demand (including without limitation court costs and reasonable legal fees) arising out of or related to your breach of this Agreement or User’s violation of any law, rule or regulation, or the rights of any third party.

9.3 In no event shall the Opes Borsa, its employees, representative, agents, its affiliates, service providers, and sub-contractors be liable to the User to the extent that the alleged infringement is based on:

(a) a modification of the Services by anyone other than the Opes Borsa; or

(b) the User’s use of the Services in a manner contrary to the instructions given to the User by the Opes Borsa; or

(c) the User’s use of the Services after notice of the alleged or actual infringement from the Opes Borsa or any appropriate authority; or

(d) the User’s breach of this Agreement.

10. Limitation of Liability

10.1 Except as expressly and specifically provided in this Agreement:

(a) the User assumes sole responsibility for results obtained from the use of the Services by the User, and for conclusions drawn from such use. Opes Borsa shall have no liability for any damage caused by errors or omissions in any information, instructions or scripts provided to the Opes Borsa by the User in connection with the Services, or any actions taken by the Opes Borsa at the User’s direction;

(b) all warranties, representations, conditions and all other terms of any kind whatsoever implied by statute or common law are, to the fullest extent permitted by applicable law, excluded from this agreement; and

(c) the Services are provided to the User on an "as is" and “as available” basis.

10.2 Subject to 9., Opes Borsa shall have no liability for any

(i) loss of profits,

(ii) loss of business,

(iii) wasted expenditure,

(iv) depletion of goodwill and/or similar losses,

(v2) loss or corruption of data or information, or

(vi) any special, indirect or consequential loss, costs, damages, charges or expenses; and

(b) he Opes Borsa’s total aggregate liability to the Users who purchase Opes Borsa Plus, in respect of all breaches of duty occurring within any contract year shall not exceed the cap.

(c) Total cap. The total liability of Opes Borsa to the User in respect of all other loss or damage arising under or in connection with this Agreement, excluding liability arising in connection with the supply of services in connection with this agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the amount that exceeds (a) the total fees paid or payable by you to Opes Borsa for the Opes Borsa Plus during the term of this Agreement, if any, or (b) us [£1000].

10.3 The Content on our Services and App is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.

10.4 Although we make reasonable efforts to update the information on our Services and App, we make no representations, warranties or guarantees, whether express or implied, that the Content on our Services and App is accurate, complete or up to date.

11. Termination

11.1 Either party may terminate this Agreement at any time by providing written notice to the other party. Once terminated, your access to the Services and all usage rights will end immediately.

11.2 If you have purchased Opes Borsa Plus and choose to terminate, any payments made before the termination notice will not be refunded, and you will retain access to Opes Borsa Plus until the end of the billing period. Any amounts owed by either party prior to termination shall remain due and payable even after the termination of this Agreement.

11.3 Opes Borsa may suspend or terminate your access to any or all of the Services, and/or cancel your Account, with immediate effect for any reason at its sole discretion and is under no obligation to disclose the details of its decision to take such action with you.

11.4 Opes Borsa may monitor your use of the Services and Content to ensure that you are following these clauses 1.1, 2.1, 2.2, 2.6, 2.10, 3, 4. Your use of the Services and Content must follow the rules set forth in these clauses. Any other use of the Services and Content is a material breach of this Agreement and Opes Borsa may suspend or terminate your access to any or all of the Services, and/or deactivate or cancel your Account with immediate effect.

12. Consequences of termination

12.1 On termination of the Agreement, the User shall immediately pay to the Opes Borsa all of the User’s outstanding unpaid invoices and interest and, in respect of Services supplied but for which no invoice has been submitted, the Opes Borsa shall submit an invoice, which shall be payable by the User immediately on receipt.

12.2 Termination of the Agreement shall not affect any rights, remedies, obligations or liabilities of the parties that have accrued up to the date of termination, including the right to claim damages in respect of any breach of the Agreement which existed at or before the date of termination.

12.3 Any provision of the Agreement that expressly or by implication is intended to come into or continue in force on or after termination of the Agreement shall remain in full force and effect.

13. General

13.1 Force majeure. Opes Borsa shall not be in breach of the Agreement nor liable for delay in performing, failure to perform, or interruption of Services, any of its obligations under the Agreement if such delay or failure result from events, circumstances or causes beyond its reasonable control.

13.2 Assignment. Users may not transfer or assign any rights or obligations you have under this Agreement without Opes Borsa's prior written consent.

Entire agreement.

(a) The Contract constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

(b) Each party acknowledges that in entering into the Agreement it does not rely on and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in the Agreement. Each party agrees that it shall have no claim for innocent or negligent misrepresentation based on any statement in the Agreement.

13.4 Waiver. A waiver of any right or remedy under the Agreement or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy. A failure or delay by a party to exercise any right or remedy provided under the Agreement or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy provided under the Agreement or by law shall prevent or restrict the further exercise of that or any other right or remedy.

13.5 Severance. If any provision or part-provision of the Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of this agreement. If any provision or part-provision of this Agreement deleted under this 11.5, such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any applicable law and the validity or enforceability of any other provision of this Agreement shall not be affected.

13.6 Survival. Any provisions of this Agreement that, by their nature, are intended to extend beyond the termination or expiration of this Agreement—including, but not limited to, provisions related to suspension or termination, Account cancellation, dispute resolution with Opes Borsa, and general terms—shall remain in effect after the termination or expiration of this Agreement.

13.7 Governing law. The Agreement, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by, and construed in accordance with the law of England and Wales.

13.8 Jurisdiction. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Agreement or its subject matter or formation.
